1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website located at proplnx.com and any of its subdomains (collectively, the "Site"), which is operated by PropLnx, Inc. ("PropLnx," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree to these Terms, do not access or use the Site.

2. About PropLnx and the Site

PropLnx, Inc. is a Delaware corporation building software for the real estate industry. The Site is currently an informational company website for a product in active development. At this stage, the Site does not offer account registration, financial transactions, or user-generated content, and it exists to present the PropLnx company and provide contact information. We may change, suspend, or discontinue any part of the Site at any time without notice.

3. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Site. By using the Site, you represent and warrant that you meet these requirements and that your use complies with all applicable laws.

4. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, icons, images, animations, code, and the PropLnx name and brand marks, is owned by or licensed to PropLnx, Inc. and is protected by United States and international intellectual property laws. Except as expressly permitted, you may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content without our prior written consent. The PropLnx name, logo, and related marks are trademarks of PropLnx, Inc.; nothing on the Site grants you any right or license to use them.

5. Acceptable Use

You agree not to:

  • Scrape, crawl, harvest, or systematically extract data from the Site by automated means without our express written consent;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Site, except where such restriction is prohibited by law;
  • Use any PropLnx brand asset, logo, or trademark without prior written authorization;
  • Introduce malware or interfere with, disrupt, or impose an unreasonable load on the Site or its infrastructure;
  • Attempt to gain unauthorized access to any portion of the Site, other accounts, or any connected systems or networks; or
  • Use the Site for any unlawful purpose or in violation of any applicable local, state, national, or international law.

6. Third-Party Links and Services

The Site may contain links to third-party websites and services, including social media platforms and analytics providers, that are not owned or controlled by PropLnx. We are not responsible for the content, policies, or practices of any third party. Your use of third-party services is governed by their respective terms and privacy policies.

7. Disclaimer of Warranties

The Site is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. PropLnx does not warrant that the Site will be uninterrupted, secure, error-free, or free of harmful components, or that any information on the Site is accurate, complete, or current.

8. Limitation of Liability

To the fullest extent permitted by applicable law, PropLnx, Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your access to or use of (or inability to access or use) the Site, even if PropLnx has been advised of the possibility of such damages. To the extent liability cannot be excluded, PropLnx's total aggregate liability for any claim arising under these Terms shall not exceed one hundred U.S. dollars (USD $100). Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless PropLnx, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Site or your violation of these Terms.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware and applicable federal law of the United States, without regard to its conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Site shall first be subject to good-faith negotiation between the parties for a period of thirty (30) days. If the dispute is not resolved through negotiation, it shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of those courts. The parties may instead agree in writing to resolve the dispute through binding arbitration administered in Delaware.

11. Changes to These Terms

We may modify these Terms at any time. When we do, we will revise the effective date at the top of this page. Your continued use of the Site after revised Terms are posted constitutes your acceptance of the changes.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

13. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and PropLnx, Inc. regarding the Site and supersede any prior agreements on that subject.
